Bemol Retail has withdrawn all court actions and claims against the operator of the Giurgiulesti International Free Port, clearing the way for the settlement of disputes and the completion of the transaction through which the Romanian state took control of the port, bani.md reports with a reference to mold-street.com.
At the end of December 2025, the National Company Maritime Ports Administration Constanta took over Danube Logistics, the operator of the Giurgiulesti International Free Port, after acquiring the company from the European Bank for Reconstruction and Development. Authorities confirmed the transaction, although they have not disclosed its value. The General Meeting of Shareholders of the Constanta Port Administration is set to formally approve it on February 11, 2026.
Seizures and litigation involving Danube Logistics assets, including its share capital and immovable assets, had represented one of the main obstacles to the transaction. According to data analyzed by Mold Street, in the second half of 2025 Bemol Retail, together with the EBRD and Danube Logistics Holding BV, withdrew their court claims and requested the return of enforcement documents. Following Bemol request, a bailiff lifted the interim measures imposed in 2019 on 100 percent of Danube Logistics share capital.
In an official response, Bemol stated that it had reached a settlement on the matter and initiated the withdrawal of all lawsuits, interim measures, and imposed restrictions. The company also informed the Government of the Republic of Moldova that it no longer has any claims against the operator of the Giurgiulesti International Free Port or its owner, as its demands had been satisfied.
The Ministry of Economic Development and Digitalization confirmed that the transaction underwent a prior review by the Council for the Examination of Investments of Importance for State Security, in line with Law No. 174/2021. The council issued a favorable opinion, taking into account the strategic importance of the port and the fact that it is located on state owned land.
The ministry added that the port is operating normally and that it is preparing a draft amendment to Law No. 8/2005 on the Giurgiulesti International Free Port to ensure continuity of operations and further development of port infrastructure.
However, data analyzed by Mold-Street.com on the courts’ website shows that in the second half of 2025, Bemol Retail, the EBRD, and Danube Logistics Holding BV from the Netherlands (which owns 100% of Danube Logistics SRL) withdrew their claims. The return of the enforcement documents was also requested.
Although the transaction has been finalized at the decision making level, the changes do not yet appear in Moldova commercial registers, as the operation is first being carried out in other jurisdictions. In 2021, the EBRD took control of the Cyprus based company that owns Danube Logistics Holding BV in the Netherlands, the sole owner of the port operator in Moldova.
Bemol full withdrawal of claims represents the key step that definitively unlocked the change of ownership of the Republic of Moldova most important logistics hub.
